The Corporate Law Committee of the St. Joseph’s College of Law organized a two-session workshop on Contract Review on 25th November 2023 and 2nd December 2023. The session was headed by Ms. Karishma Dugar, Senior Associate, AZB Partners. Ms. Karishma is an experienced advocate who specializes in corporate and commercial laws. She is also a startup ecosystem enthusiast.

The first session dealt with many aspects of what is a contract, what are the contents of a contract, and how a basic contract is to be drafted. Ms. Karishma explained the various kinds of clauses, laws and rules which are to be kept in mind while drafting a contract. She also mentioned important details of due diligence, corporate and commercial laws regarding contract drafting. The session was followed by a Q&A session where students engaged in discussion of the key takeaways. The students were also told to fill in a feedback form. An assignment was given to the students which was to be completed before the subsequent session, which was to review a services contract.

In the second session, Ms Karishma evaluated the assignments, where she explained in detail about how a contract is to be reviewed, what are all the key provisions and clauses which are to be mentioned, and how are these clauses to be drafted from both a supplier and organization perspective in a services agreement and contract. The session was concluded with a Q&A session once again, and Ms. Karishma also briefed the students about the various objectives of the workshop and mentioned important tips for every law student to keep in mind. The students were told to fill a feedback form as well.
